Consumer Terms of Use

IMPORTANT NOTICE. These Terms of Use contain provisions that limit the risks and liabilities of Thrive Financial Connect (Pty) Ltd, allocate sole responsibility for financial advice and regulatory compliance to independent third-party Advisors, and set out the operational conditions of the Platform. Please read these Terms carefully, with particular attention to clauses 4, 5, 6, 10 and 11, before accepting them. By accepting these Terms, you confirm that you have read and understood them.

1Definitions

In these Terms:

  • "Company", "we", "us" or "Thrive Connect" means Thrive Financial Connect (Pty) Ltd, a private company registered in the Republic of South Africa.
  • "Platform" means the technology marketplace utility (web and mobile applications, consumer dashboards, directories and communication infrastructure) operated under the thriveconnect.co.za domain.
  • "Consumer", "you" or "your" means any natural person who accesses the Platform, completes the assessment, or uses the utility to connect with an Advisor.
  • "Advisor" means an independent, third-party financial advisor, representative or licensed Financial Services Provider who maintains a profile on the Platform.
  • "FSP" means an authorised Financial Services Provider registered under the Financial Advisory and Intermediary Services Act 37 of 2002 (the "FAIS Act").

2Binding Acceptance

By selecting the electronic acceptance checkbox, creating a consumer account, using the Financial Health Priority & Gap Assessment, or submitting a connection request, you enter into a legally binding agreement governed by these Terms. Electronic acceptance constitutes a valid data message and signature for the purposes of the Electronic Communications and Transactions Act 25 of 2002 ("ECTA"). If you do not agree to these Terms, you must not use the Platform.

3What Thrive Connect Does

Thrive Connect is an administrative marketplace technology utility and a digital publisher. The Platform provides a neutral, software-driven directory that enables Consumers to locate, filter and independently request an off-platform consultation with an Advisor, based on objective parameters such as province, area of specialisation, language and verification status.

4What Thrive Connect Does Not Do

4.1 No Financial Advice. Thrive Connect is not an FSP, is not licensed under the FAIS Act, and does not provide financial advice, product recommendations or intermediary services of any nature.

4.2 All Advisory Interactions Occur Off-Platform. No advisory consultation, financial planning, product analysis or transaction execution takes place on or through the Platform. All such interactions occur strictly off-platform and independently of Thrive Connect.

4.3 No Product Promotion. Thrive Connect does not recommend, endorse or promote any specific financial product, insurer or investment manager.

4.4 No Debt Counselling. Thrive Connect is not registered with the National Credit Regulator ("NCR") and does not perform debt counselling, debt management or debt restructuring under the National Credit Act 34 of 2005 (the "NCA").

4.5 No Client Funds. Thrive Connect never collects, holds, handles or routes any consumer investment premium, policy contribution or client money.

5Financial Health Priority & Gap Assessment

5.1 Educational Tool Only. The Financial Health Priority & Gap Assessment is an automated, rules-based educational tool. It identifies broad financial-planning priority areas and potential gaps from limited, text-based inputs that you provide directly. It does not generate a predictive credit-style score, numeric rating or algorithmic valuation.

5.2 No Material Valuation. The assessment does not analyse your comprehensive material financial position, verify any underlying assets, or constitute a statutory financial needs analysis.

5.3 Permanent Disclaimer. The assessment and its breakdown are accompanied at all times by the permanent on-screen disclaimer: "Indicative Wellness Metric Only". You must not purchase, alter or cancel any financial product on the basis of this educational output alone. It is not a substitute for an authorised, professional financial needs analysis conducted by a licensed Advisor.

6No Advisor Endorsement or Placement Bias

6.1 Objective Matching. The ranking, display and positioning of Advisor profiles are governed by objective user search filters. The marketplace uses no paid placements, sponsored boosting or commercially skewed ranking preferences at launch.

6.2 Meaning of "Verified". A "Verified" badge indicates only that Thrive Connect has manually cross-referenced the Advisor's declared details against the public Financial Sector Conduct Authority ("FSCA") registers at a particular point in time. It is not a guarantee of the Advisor's competence, commercial suitability or ongoing regulatory standing. You must independently verify an Advisor's mandatory statutory disclosures before engaging their services.

6.3 Advisor Availability. An Advisor's profile remains visible in the directory at all times while listed. From time to time the connect or request function on a profile may be temporarily disabled, in which case the Platform will display a clear, disabled-state message indicating that the Advisor is temporarily unable to receive new requests through the Platform. This reflects the Advisor's platform capacity and does not imply that the Advisor has closed their practice or is neglecting existing clients.

7Data Minimisation and Connection Routing

7.1 Minimal Collection. To limit your data exposure, the Platform does not permit the uploading of financial documents, statements or bank records.

7.2 Point-of-Connect Collection. Your cellphone number and contact details are collected only at the moment you initiate an explicit connection request.

7.3 Explicit Consent Routing. No consumer data is shared automatically. Your details are transmitted only to the single Advisor you expressly select, and only after you complete a clear point-of-connect consent step. The Platform will never automatically reroute your data to any alternative or unselected Advisor.

8Sub-Processors and Cross-Border Data Routing

To operate the Platform, the Company engages the following third-party sub-processors, each bound by data-processing terms:

  • Supabase — database, authentication and secure data isolation/hosting;
  • Vercel — application hosting and delivery;
  • PayFast — payment processing for Advisor subscriptions (the Company does not process consumer payments);
  • Resend — transactional email routing for connection notifications and confirmations.

8.1 Cross-Border Routing. You acknowledge and consent that, when you submit a connection request, your connection inputs (your name, email address and cellphone number) are transmitted by means of transactional email infrastructure (Resend) that involves a cross-border data-routing mechanism processed in the European Union region. This transfer is undertaken in reliance on the grounds permitted under Section 72 of the Protection of Personal Information Act 4 of 2013 ("POPIA"), including your consent given at the point of connect and the necessity of the transfer for the performance of the service you have requested, supported by data-minimisation and processing-limitation measures. The recipient infrastructure is subject to contractual processing safeguards.

9Consumer Data Requests, Complaints and Notices

All consumer data queries, POPIA access or erasure requests, complaints and notices must be sent to support@thriveconnect.co.za. This is the sole monitored channel for consumer data-privacy and complaint matters.

10Platform Availability and Technical Boundaries

The Platform is an automated digital utility. It is hosted and delivered through third-party infrastructure (including Supabase and Vercel) and is provided on an "as available" basis. The Company does not warrant that the Platform will be uninterrupted, error-free, or continuously available, and does not warrant any particular deployment state, environment or uptime. Without limiting any other provision, the Company is not liable for any unavailability, delay, degradation or loss arising from staging or deployment activities, scheduled or unscheduled maintenance, third-party hosting or email dependencies, utility or power failures, or telecommunication networks outside its direct control.

11Consumer Protection Rights

Nothing in these Terms limits or excludes any right that cannot lawfully be limited or excluded. In accordance with section 51 of the Consumer Protection Act 68 of 2008 (the "CPA"), these Terms do not deprive you of any statutory protection or of your right to approach a competent regulatory or dispute-resolution body, including the National Consumer Commission, the FAIS Ombud, the National Financial Ombud Scheme or the Information Regulator. You give no general or unfair indemnity to the Company in respect of your ordinary use of the marketplace.

12Intellectual Property

The Company owns all rights, title and interest in and to the Platform, including its source code, interface designs, branding and the rules-based logic underlying the Financial Health Priority & Gap Assessment. You are granted a limited, revocable, non-transferable licence to use the interface for your own personal, educational discovery only.

13Termination and Data Retention

You may close your consumer account at any time. On closure, your personal data will be flagged for erasure or anonymisation through the channel in clause 9, subject to any records the Company is required to retain under South African law for security, audit and fraud-prevention purposes.

14Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Republic of South Africa, and the parties submit to the jurisdiction of the competent South African courts.
